Terms of Use

These terms govern access to and use of Tayoca's website, publications, digital products, software, assessments, automation, integrations and professional services unless a separate written agreement applies.

1. Acceptance of these terms

By accessing or using Tayoca's website, products or services, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the applicable service.

If you use Tayoca on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Tayoca services

Tayoca provides technology services, assessments, publications, digital products, software, automation, integrations, educational material and related professional services. Specific deliverables, pricing, support commitments, service levels and timelines may be governed by an order form, statement of work, subscription plan, product page or other written agreement. Where there is a conflict, the more specific written agreement controls for that service.

3. Accounts and authorized access

You are responsible for information submitted through your account or authorized integrations and for maintaining the confidentiality of credentials under your control. You must promptly notify Tayoca at support@tayoca.com if you believe an account, token or integration has been compromised.

4. Acceptable use

You may not use Tayoca services to:

  • violate applicable law or the rights of another person;
  • gain unauthorized access to systems, accounts, networks or data;
  • introduce malware, destructive code or abusive traffic;
  • circumvent technical, security, rate, entitlement or access controls;
  • misrepresent affiliation, identity, evidence, authorship or results;
  • use the services to infringe intellectual property, privacy or contractual rights;
  • interfere with the integrity, availability or security of Tayoca or third-party systems.

5. Intellectual property

Tayoca and its licensors retain ownership of the website, software, documentation, designs, trademarks, publications, templates, automation logic and other materials made available by Tayoca, except for content expressly identified as belonging to you or another party.

A purchase or subscription grants only the licence stated on the relevant product page or written agreement. Unless expressly permitted, you may not resell, republish, redistribute, sublicense, remove attribution from, or commercially exploit Tayoca materials as your own.

6. Your content and permissions

You retain ownership of content you submit. You grant Tayoca the limited rights reasonably necessary to host, process, transmit, analyze and otherwise use that content to provide the requested service, operate authorized workflows, secure the platform and comply with law.

Tayoca does not treat submission as permission for public publication. Client information, reviews, case studies, logos and other identifiable material are subject to the publication and evidence controls described in the Trust Center and any applicable consent terms.

7. AI, automation and generated outputs

Tayoca may use AI-assisted or automated systems in research, analysis, drafting, classification, routing and operations. Automated or generated output can contain errors and should be reviewed in the context of its intended use. Tayoca's evidence and approval controls do not convert generated output into independently verified fact.

You remain responsible for decisions you make based on general informational, educational or automated output unless a signed professional-services agreement expressly allocates that responsibility differently.

8. Assessments, publications and educational material

Assessments, articles, playbooks, templates, checklists, calculators, examples and educational content are provided for general informational purposes. They are not legal, tax, accounting, medical or investment advice and do not create a professional-client relationship in those disciplines.

9. Orders, payments and refunds

Prices, billing intervals, taxes, renewal terms, licence scope and refund terms are shown at checkout, on the applicable product page, or in the governing commercial agreement. Third-party commerce or payment providers may apply their own terms.

Nothing in these terms limits non-waivable rights you may have under applicable consumer protection law.

10. Third-party services and integrations

Tayoca may interoperate with third-party platforms, including hosting, analytics, commerce, communications, scheduling, source-control, automation and social platforms such as LinkedIn. Third-party services are governed by their own terms and privacy policies. Tayoca is not responsible for a third party's independent service, availability, policy or conduct.

11. Availability, changes and suspension

We may modify, suspend or discontinue a feature where reasonably necessary for maintenance, security, legal compliance, provider changes, abuse prevention or product evolution. Where a paid service has a specific availability or support commitment, the applicable written agreement controls.

We may restrict or terminate access for material breach, security risk, unlawful use, non-payment, abuse or conduct that threatens the service or other users.

12. Disclaimers

Except as expressly stated in a written agreement and to the extent permitted by law, Tayoca services and website content are provided on an "as is" and "as available" basis. We do not warrant that every service will be uninterrupted, error-free, suitable for every purpose, or free of all security risks.

13. Limitation of liability

To the maximum extent permitted by applicable law, Tayoca will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, goodwill, business opportunity or data arising from use of the website or services.

Where liability cannot lawfully be excluded, Tayoca's aggregate liability for a claim relating to a paid service will not exceed the amount paid to Tayoca for the affected service during the twelve months preceding the event giving rise to the claim, unless a separate written agreement states otherwise or applicable law requires a different result.

14. Indemnity

To the extent permitted by law, you agree to indemnify Tayoca against third-party claims, losses and reasonable costs arising from your unlawful use of the services, your material breach of these terms, or content you submit that infringes another person's rights. This section does not apply to the extent a claim results from Tayoca's own unlawful conduct.

15. Governing law

These terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Subject to any mandatory consumer forum rights, the courts located in Ontario will have jurisdiction over disputes arising from these terms.

16. Changes to these terms

We may update these terms as our services, legal obligations or operating model change. The current version will be posted on this page with its effective date. Material changes will apply prospectively unless law requires otherwise.

17. General

If a provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these terms without Tayoca's consent where the assignment would materially affect Tayoca's rights or obligations. Tayoca may assign these terms as part of a reorganization, financing, merger, acquisition or transfer of the relevant business, subject to applicable law.
